CincyTech is a venture capital firm that invests in innovative founders tackling the world's complex challenges. Since inception through Fund I, Follow-on Fund I, Fund II, Fund III, Fund IV and Fund 4+ ( the “Initial Funds”) were advised through CincyTech, LLC. CincyTech, LLC is an SEC Exempt Reporting Advisor. Fund V and Fund VI (the “Current Funds”), are advised by Cincinnati Cornerstone Capital, LLC (dba CincyTech), which is also an SEC Exempt Reporting Advisor.

CincyTech’s website (https://www.cincytechusa.com, referred to herein as the "Website") is limited to the dissemination of general information pertaining to its advisory services, together with access to additional investment-related information, publications, links, email newsletters, associated content distribution platforms, podcasts and public CincyTech social media accounts (collectively, the “Services”). Accordingly, the publication of the Website on the Internet should not be construed by any client and/or prospective client as CincyTech’s solicitation to effect, or attempt to effect, transactions in securities, or the rendering of personalized investment advice for compensation, over the Internet. Any subsequent, direct communication by CincyTech with a prospective client will be conducted by a representative that is either registered or qualifies for an exemption or exclusion from registration in the state where the prospective client resides.

Terms & Conditions of Use

These Terms & Conditions of Use are between you and CincyTech ("we," "us," and "our"). Your use of the Services, as defined in the Important Disclosures, constitutes an acknowledgement that you have read the most recent version of the Terms & Conditions of Use and that you agree to adhere to its terms. If you do not agree to be bound by these Terms & Conditions of Use, please cease all further use. We reserve the right to amend these Terms & Conditions of Use at any time.

1. Access to Services

Limited License. We grant you a non-exclusive, non-transferable limited license to access and make personal use of the Services and not to download (other than page caching) or modify any portion of the Services without our prior written approval. You shall not use any robot, spider or other device to monitor the Website in any manner. We may terminate this license at any time.

2. Policies Governing Use of the Services

Links to the Services. You are expressly prohibited from framing or linking or otherwise using or displaying the Services or any portion thereof in such a manner so that it appears to be part of your own or someone else's website, social media, or other services.

Privacy Policy. Our use of your information shall be governed at all times by our Privacy Policy.

4. Disclaimer of Warranty; No Consequential Damages; Limitation of Liability

Disclaimer of Warranty. YOU ACKNOWLEDGE THAT YOUR USE OF THE SERVICES IS ENTIRELY AT YOUR OWN RISK. The Services are provided as is, without warranties of any kind, either express or implied, including, but not limited to, warranties of title or implied warranties of merchantability or fitness for a particular purpose, or warranties of non-infringement. To the fullest extent permissible by law, we make no warranties and shall not be liable for the use of the Services, including, without limitation, any interruption of or error in the services under any circumstances, including, but not limited to, our negligence.

Limitation of Liability. Under no circumstances shall we be liable for any special or consequential damages that are directly or indirectly related to the use of, or the inability to use, the Services, even if we have been advised of the possibility of such damages. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.

5. Miscellaneous

Prohibited Uses. You expressly agree not to use the Services in a manner that is prohibited by any law or regulation, or to facilitate the violation of any law or regulation. You acknowledge that prohibited conduct includes, but is not limited to, use of the Services to invade the privacy of third parties, impersonation of our personnel or other parties or entities, transmitting abusive, profane, libelous, slanderous, threatening or otherwise harassing material via e-mail or your personal Web page(s). You also agree not to use the Services to violate the security of the Services or attempt to utilize another user’s account name or persona without authorization from that user.

Choice of Law; Jurisdiction. These Terms & Conditions of Use shall be governed and interpreted in accordance with the substantive law of the State of Ohio without regard to its conflict of law provisions. You agree to the exclusive jurisdiction of the courts located within the County of Hamilton, State of Ohio.

Severability. If any provision of these Terms & Conditions of Use is deemed invalid or unenforceable, that provision shall be deemed severable and shall not affect the validity, legality or enforceability of the remaining provisions.

Survival. Any section of these Terms & Conditions of Use which by its terms and nature is meant to survive the termination of these Terms & Conditions of Use, shall survive such termination.

Entire Agreement. These Terms & Conditions of Use set forth the entire understanding and agreement between us with respect to the subject matter hereof.

  • Third Parties (vendors) - For example, we may use analytics providers to analyze how you interact and engage with the Services, or third parties may help us provide you with customer support.

How We Use Your Personal Data

We process Personal Data to operate, improve, understand and personalize our Services. We collect and use Personal Data for the following purposes:

  • To meet or fulfill the reason you provided the information to us.
  • To communicate with you about the Services, including Service announcements, updates or offers.
  • To provide support and assistance for the Services.
  • To create and manage your account or other user profiles.
  • To personalize website content and communications based on your preferences.
  • To deliver our newsletters, emails and facilitate events.

We will not collect additional categories of Personal Data or use the Personal Data we collected for materially different, unrelated, or incompatible purposes without providing you notice.

As noted in the list above, we may communicate with you if you’ve provided us the means to do so. For example, if you’ve given us your email address, we may send you email newsletters or email you about your use of the Services. Also, we may receive a confirmation when you open an email from us, which helps us improve our Services. If you do not want to receive communications from us, please indicate your preference by emailing us at administrator@cincytechusa.com.

We may create aggregated, de-identified or anonymized data from the Personal Data we collect, including by removing information that makes the data personally identifiable to a particular user. We may use such aggregated, de-identified or anonymized data and share it with third parties for our lawful business purposes, including to analyze, build and improve the Services and promote our business, provided that we will not share such data in a manner that could identify you.

Reasons We Can Share Your Personal Data

  • For our everyday business purposes – such as to process your transactions, maintain your account(s), respond to court orders and legal investigations, or report to credit bureaus.
  • For our marketing purposes – to offer our products and services to you.
  • For our affiliates’ everyday business purposes – information about your transactions and experiences and information about your creditworthiness.
  • Successors to our business - Your Personal Data may also be transferred to a third party if we undergo a merger, acquisition, bankruptcy or other transaction in which that third party assumes control of our business (in whole or in part).

CincyTech does not share for:

  • Joint marketing with other financial companies.
  • For nonaffiliates to market you.

Why Can’t I Limit All Sharing?

Federal law gives you the right to limit only:  sharing for affiliates’ everyday business purposes – information about your creditworthiness; affiliates from using your information to market you; sharing for nonaffiliates to market to you.  State laws and individual companies may give you additional rights to limit sharing.

Data Security and Retention

Data from unauthorized access, use and disclosure using appropriate physical, technical, organizational and administrative security measures based on the type of Personal Data and how we are processing that data. You should also help protect your data by appropriately selecting and protecting your password and/or another sign-on mechanism; limiting access to your computer or device and browser; and signing off after you have finished accessing your account. Although we work to protect the security of your account and other data that we hold in our records, please be aware that no method of transmitting data over the Internet or storing data is completely secure. We cannot guarantee the complete security of any data you share with us, and except as expressly required by law, we are not responsible for the theft, destruction, loss or inadvertent disclosure of your information or content.

We retain Personal Data about you for as long as we have a business purpose to do so. In some cases, we retain Personal Data for longer, if doing so is necessary to comply with our legal obligations, resolve disputes or collect fees owed, or is otherwise permitted or required by applicable law, rule or regulation. We may further retain information in an anonymous or aggregated form where that information would not identify you personally.

Definitions

Affiliates - Companies related by common ownership or control.  They can be financial and nonfinancial companies.  CincyTech shares with our affiliates for everyday business purposes.

Nonaffiliates - Companies not related by common ownership or control. They can be financial and nonfinancial companies.  CincyTech does not share with our nonaffiliates so they can market to you.

Joint marketing - A formal agreement between nonaffiliated financial companies that together market financial products or services to you.  CincyTech does not jointly market.
